ORGANISER TERMS

By becoming an Organiser on the Learnoscopy platform, you are consenting to comply with the Organiser Terms ("Terms"), which pertain to the relevant aspects of the platform for Organisers. These Terms are an extension of our general Terms of Use that dictate the use of our Services, and any undefined capitalized terms in the Organiser Terms are specified in the Terms of Use. As an Organiser, you are contracting directly with Learnoscopy Ltd, even if another Learnoscopy subsidiary manages your payments.


1. Organiser Obligations


As an Organiser on the Learnoscopy platform, you hold full responsibility for all content that you post, including but not limited to courses, feedback forms, certificates, tickets, files, resources, the course landing page, and announcements (collectively referred to as "Submitted Content").


By agreeing to these Terms, you guarantee that:


  • The account information you provide is and will remain accurate.
  • You own or have acquired the necessary licenses, rights, consents, permissions, and authority to allow Learnoscopy to use your Submitted Content in accordance with these Terms and the Terms of Use.
  • Your Submitted Content will not infringe or misappropriate any third party's intellectual property rights.
  • You possess the qualifications, credentials, and expertise (such as education, training, knowledge, and skill sets) required to teach and offer the services presented through your Submitted Content and use of the Services.
  • You will maintain a level of service quality that is consistent with the standards of your industry and instructional services in general.

Additionally, you warrant that you will not:


  • Publish or provide any content or information that is inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory, or libelous.
  • Transmit unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the Services or to any user.
  • Use the Services for any purpose other than providing tutoring, teaching, and instructional services to students.
  • Engage in any activity that would require Learnoscopy to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording.
  • Frame or embed the Services (such as embedding a free version of a course) or otherwise bypass the Services.
  • Impersonate another person or gain unauthorized access to another person's account.
  • Interfere with or prevent other Organisers from providing their services or content.
  • Misuse Learnoscopy resources, including support services.

2. License to Learnoscopy


By signing up to become an Organiser on the Learnoscopy platform, you agree to grant Learnoscopy certain rights over your Submitted Content. These rights allow Learnoscopy to offer, market, and make use of your content, and may include modifying the content for accessibility purposes. Additionally, you authorize Learnoscopy to sublicense these rights to third parties, including students and other resellers.


You may remove any portion of your Submitted Content from the Services at any time, unless otherwise agreed. After removal, Learnoscopy's right to sublicense the content will terminate with respect to new users 60 days after the removal, except for certain circumstances. Specifically, any rights previously granted to students will continue according to the terms of those licenses, and Learnoscopy's right to use the Submitted Content for marketing purposes will continue.


Learnoscopy may also record and use your Submitted Content for quality control purposes and to promote the Services, as well as use your name, likeness, and voice in connection with marketing and selling the Services. You waive any applicable privacy or publicity rights to the extent allowed under the law.


3. Trust & Safety


3.1 Trust & Safety Policies


By using Learnoscopy's Services, you agree to comply with their general terms and policies, as well as any content quality standards or policies that they may update from time to time. It is your responsibility to periodically review these policies to ensure that you are following them. You understand that Learnoscopy must approve your use of the Services, and they have the discretion to approve or deny your request.


Learnoscopy reserves the right to remove your content, stop payments, or ban you from using their Services for any reason without prior notice. This may include situations where your content or behavior does not meet their policies or legal terms (including the Terms of Use), where your content is below their quality standards, where your behavior reflects negatively on Learnoscopy, where your business partner violates Learnoscopy's policies, where you engage in unfair competition, or for any other reason determined solely by Learnoscopy.


3.2 Co-Organisers


On the Learnoscopy platform, you can designate other users as co-Organisers for the content you manage. By adding a co-Organiser, you acknowledge that you are granting them permission to perform certain actions related to your Learnoscopy account, including making changes to your Submitted Content. If your co-Organiser violates Learnoscopy's terms and policies, it may impact your Learnoscopy account and Submitted Content. However, Learnoscopy is not responsible for resolving any disputes or providing advice between you and such users. In case your co-Organisers have an assigned revenue share, their share will be paid out of your earned revenue share based on the ratios that you have previously agreed upon, and Learnoscopy will not be involved in this matter.


3.3 Relationship to Other Users


As an Organiser, you have a direct contractual relationship with the students and will receive information about them through the Learnoscopy platform. By using this information, you agree to use it solely for the purpose of providing services to the learners on the platform and not to solicit any additional personal data or store it outside of the Learnoscopy platform. Furthermore, you acknowledge and agree to indemnify Learnoscopy against any claims that may arise from your use of the learners' personal data.


3.4 Anti-Piracy Efforts


To help safeguard your content from unauthorized use, we may collaborate with anti-piracy vendors. As a result, you hereby authorize Learnoscopy and our anti-piracy vendors to act as your representatives in enforcing copyrights for all of your content, utilizing notice and takedown processes (as permitted by applicable copyright laws like the Digital Millennium Copyright Act) and other methods to defend these rights. By doing so, you give Learnoscopy and our anti-piracy vendors primary responsibility for submitting takedown notices on your behalf to enforce your copyright interests.


You acknowledge that unless you notify us by sending an email to [email protected] with the subject line "Revoke Anti-Piracy Protection Rights" from your account email address, Learnoscopy and our anti-piracy vendors will maintain the above-mentioned rights. If you revoke these rights, the revocation will take effect 48 hours after we receive the email.


4. Payments


4.1 Payment and Fees


By using Learnoscopy's online platform, you agree that all transactions made by learners for your (organiser's) course will go directly to you (organiser) through your Stripe Partner account. You will be solely responsible for any fees charged by Stripe or associated costs of transactions, including but not limited to processing fees, commission, and exchange fees. Learnoscopy Ltd does not charge any fees or commission on paid tickets. You acknowledge that Learnoscopy is not responsible for any financial transactions between you and the learner. Learnoscopy is also not responsible for issues relating to transactions, including delays, failure, under or overpayment. 4.2 Refunds


As the organiser, you are solely responsible for processing any refunds requested by learners. All refunds can be processed directly through your Stripe account or any arrangement that is agreed upon between the organiser and learner. Learnoscopy is not responsible for any refunds or liable for any losses that may occur as a result of disputes. Any disputes related to refunds must be resolved between you and the learner. By using Learnoscopy's online platform, you acknowledge that you have read and agreed to these terms regarding payment and refunds.


5. Trademarks


As a member and Organiser on our platform, you may use our trademarks with our prior authorization and in compliance with the requirements outlined below:


  • Use only the images of our trademarks that we provide to you, as described in any guidelines we may publish.
  • Use our trademarks solely in connection with the promotion and sale of your Submitted Content available on Learnoscopy or your participation on Learnoscopy.
  • Cease using our trademarks immediately if we request that you do so.

You must not:


  • Use our trademarks in a misleading or disparaging manner.
  • Use our trademarks in a way that suggests that we endorse, sponsor, or approve of your Submitted Content or services.
  • Use our trademarks in a manner that violates applicable law or in connection with an obscene, indecent, or unlawful topic or material.

6. Deleting Your Account


You understand that if students have previously enrolled in your Submitted Content, your name and that Submitted Content may remain accessible to those students after your account is deleted. If you need help or encounter difficulty deleting your account, you can contact us by sending a support ticket.
